Association governed by the French law of 1 July 1901

Considering the desire to renew the bodies and the functioning of European policies championed by Génération Maastricht, launched on 9 June 2019,

Considering the action and dynamism shown by all local branches since the creation of the think tank, which reflect a desire for civic engagement,

Considering the wish of the members to preserve the original civic and participatory spirit of Génération Maastricht and its founding values, while enabling it to become a lasting part of the landscape, of society and of the territories, beyond the borders of France, in Europe,

Considering the duality of the forms of political power, which justifies opening the association to everyone, without judgement, with a view to cooperation,

The members of Génération Maastricht have approved the following amended statutes:

I. PURPOSE, PRINCIPLES AND COMPOSITION

A. Constitution and legal framework

A think tank named "Génération Maastricht" is hereby created between the members who adhere to these statutes. It is governed by the law of 1 July 1901 on the contract of association and by the decree of 16 August 1901.

Génération Maastricht complies with the legislation in force on the financing of associations.

The registered office is located at 13bis avenue de la Motte-Picquet, 75007 Paris.

It may be transferred by decision of the Executive Board.

Génération Maastricht is created for an unlimited period.

B. Purpose

The purpose of this association is the following: to create an open space enabling young people to devise and defend public policies that ensure that the opinion of every young person is taken into account; to develop knowledge of European tools and institutions and thereby to produce proposals, actions and research of every kind that ensure a nuanced understanding of global and intra-European policy areas.

C. Principles of action

Génération Maastricht pursues its purposes while respecting the following principles of action:

  • political life is the business of all citizens. Génération Maastricht endeavours to promote entry into public life and civic engagement;
  • the regional committees are one of the foundations of Génération Maastricht. They enjoy freedom of action within the framework of these statutes;
  • in their action, the officers of Génération Maastricht seek to strengthen citizens' trust in public life and act with integrity. Génération Maastricht promotes transparency, with respect for the rights of individuals;
  • offices within the organs and governing bodies referred to in these statutes are unpaid;
  • parity between women and men is a principle that guides access to responsibilities within Génération Maastricht;
  • the bodies of Génération Maastricht give an important place to members who do not hold elected office;
  • Génération Maastricht acts in the public interest. The actions and resources deployed serve its purposes, the engagement of its members and, more broadly, society; the association is therefore not intended to benefit a restricted group of persons;
  • Génération Maastricht seizes every opportunity offered by digital tools to bring the debate of ideas and democracy to life within it;
  • Génération Maastricht is a place of emancipation, encouraging people to get involved, in particular by being open to society and by fostering every opportunity for exchange with political, cultural, religious, economic or trade union actors, in France or internationally;
  • all members, in the positions they take publicly or within the association, observe the forms of courtesy and propriety.

D. Means

To achieve the purposes set out in clause B and in accordance with the principles set out in clause C, Génération Maastricht may in particular:

  • draw up a public action project, which members from the association undertake to promote;
  • draw up and implement a programme to identify and train future leaders;
  • draw up and implement actions aimed at strengthening the links between citizens, including other actors in society, in particular trade unions and businesses;
  • act with national, European and international entities pursuing the same purposes and, where appropriate, federate with them;
  • use all means of communication, in particular digital ones, such as the creation of websites, platforms, digital applications and social media accounts, and, where appropriate, make them available to its members and committees;
  • create, manage and support one or more publications, newspapers and journals;
  • organise events, congresses, conferences, symposia, seminars, round tables, training courses and all other information, discussion and debate activities;
  • federate, initiate, support and, where appropriate, finance think tanks, foundations and social and solidarity economy enterprises;
  • recruit the teams needed to run and manage Génération Maastricht, and rent, buy or sell any movable or immovable property needed for its action;
  • coordinate and promote, under the conditions and within the limits set by law, the collection of the donations needed for the action of Génération Maastricht and the achievement of its purposes;
  • use the financial instruments, loans, borrowings and guarantees needed for its action, under the conditions and within the limits set by law.

E. Members and Charter of Values

  • Any person, French or foreign, who shares the purposes and principles of action of Génération Maastricht may apply to become a member.
  • Full membership is conditional on payment of an annual membership fee of 19 euros. Supporting membership is not conditional on payment of a fee. An online membership system is set up on the Génération Maastricht website.
  • Members are bound by these statutes and, once adopted, by the rules of procedure and by the Charter of Values. The Charter of Values is approved by the General Council, on a proposal from the Executive Board.
  • Members undertake to respect the Charter of Values in their public statements, within Génération Maastricht and, where applicable, in the exercise of their elected or governmental functions.
  • The rules of procedure may specify the conditions of membership, in particular as regards the possibility for Génération Maastricht to:
    • refuse a membership application if the person concerned has made statements or engaged in conduct contrary to the Charter of Values, or if the application is manifestly intended to undermine the purposes and principles of Génération Maastricht;
    • ask members to renew their membership at regular intervals;
    • introduce a diversification of membership categories, specifying the payment of a fee for access to certain activities.
  • Any member may decide to withdraw from Génération Maastricht.

F. Personal data

  • Personal data collected by Génération Maastricht, in particular members' data, are processed in accordance with French Law No. 78-17 of 6 January 1978 on information technology, data files and civil liberties.
  • Access to the Génération Maastricht files containing members' personal data is reserved to the officers of the association and, where applicable, to the persons they authorise for that purpose.
  • The conditions of access to these files are specified in the rules of procedure.

II. LOCAL BRANCHES

G. Regional committees

The regional committees are the primary place of exchange and action of Génération Maastricht. Members are free to take part in a local committee or not.

1. Creation

Regional committees may be created at the request of the Executive Board (or, where applicable, of the European Secretariat), in accordance with procedures that may be specified in the rules of procedure. Regional committees carry out their missions within a given territory. They are not permanent.

2. Missions

The regional committees are in particular responsible for:

  • bringing together the members who, within a given territory, wish to get involved and coordinate their action;
  • carrying out collective actions within that territory, including of a social or cultural nature, in accordance with the purposes and principles set out in Title I;
  • fostering the debate of ideas within Génération Maastricht and taking part in drawing up the project of Génération Maastricht;
  • making the project and action of Génération Maastricht known within that territory and attracting new members;
  • raising the awareness of the national bodies on any subject of general interest and any question specific to that territory.

3. Functioning

Each regional committee is free to set its working methods and actions, in accordance with these statutes, the rules of procedure and the general guidelines coordinated by the national bodies. It appoints from among its members, according to the rules it sets for itself, a regional coordinator. Regional committees may conduct experiments, on their own initiative or on a proposal from the Executive Board. No regional committee may exercise supervision over another. Where a committee, through its action or that of its members, manifestly undermines the values, purposes and principles of Génération Maastricht, the Executive Board may, after formal notice and, where applicable, the opinion of the Disputes Committee once it has been constituted, decide to suspend or dissolve the committee concerned. Where urgency so justifies, the suspension may be ordered without prior formal notice. The rules of procedure may in particular provide for and regulate the conditions under which:

  • the creation of local committees is validated by the national bodies;
  • the Executive Board may authorise a local committee to have legal personality, if this is necessary for its creation or functioning;
  • local committees located in the same territory may be required to merge, or be suspended or abolished;
  • the committees may implement their own actions and means of expression, in particular digital ones.

III. LOCAL COORDINATORS

H. Local coordinators

Local referents are an essential link between the national and European bodies and the local committees.

1. Appointment

A referent may be appointed:

  • for each European country,
  • for each department and region within those European countries,
  • to represent the regions of metropolitan France or of other countries,
  • within a given territory, in particular in large urban areas, where this is necessary in view of the population of the territory concerned.

The list of territories for which a referent is appointed is drawn up by the European Secretariat and approved by the Executive Board. After validation, the European Secretariat may change the territorial scope and the number of territorial referents to take account of administrative, electoral and demographic changes. The appointment of each referent is a matter for the Executive Board. For the appointment of the referent of each territory, each local committee in the territory concerned may send proposals to the Executive Board, according to the rules it sets for itself, provided that it sends at least two proposals in accordance with the principle of parity. Where proposals have been made by the local committees concerned, the European Secretariat takes its decision on that basis. It may ask the members in the territory concerned for a confirmatory vote. These appointment and consultation procedures are specified, where appropriate, in the rules of procedure. The European Secretariat ensures parity and diversity of background among the candidates for the office of territorial referent. The term of office of a territorial referent is three years. No one may hold this office more than twice in the same territory.

2. Responsibilities

Within the territory for which they are responsible, the referent:

  • ensures the territorial roots of Génération Maastricht by informing the national bodies of questions specific to the territory concerned;
  • is responsible for running Génération Maastricht and coordinating the action of the members. In this respect, they may create and lead a political hub including elected representatives of the territory concerned;
  • guarantees the proper functioning of the association and in particular compliance with these statutes and the Charter of Values;
  • coordinates the action of the territorial delegates, which may be regularly assessed, with the possible involvement of the members of the territory concerned.

    The Executive Board sets the procedures for collective discussion and for organising the resulting votes. The consultation may be organised electronically.

    Each year, Génération Maastricht devotes part of its revenue to drawing up and implementing a participatory budget, without the share of the budget devoted to it exceeding an amount set by the Executive Board.

    The participatory budget adopted aims to finance and implement actions proposed and selected by the members of Génération Maastricht. These actions must be consistent with the purposes of the association and contribute to achieving them.

    The participatory budget is drawn up and implemented under the authority of the Executive Board. To this end, the Board may decide to create a specialised advisory commission, including members of the General Council and, where applicable, members appointed by drawing of lots.

    The Executive Board reports each year to the General Council on its decisions under this article.

    Affiliation is granted by decision of the Executive Board to associations whose purposes, working methods and principles of action are consistent with the purposes of the association, in accordance with procedures that may be specified in the rules of procedure.

    Affiliation may be withdrawn by the Executive Board after formal notice.

    The Executive Board may decide that part of the budget of Génération Maastricht be devoted to financing affiliated associations.

    • other resources authorised by law, in accordance with procedures determined by the Executive Board. A local committee treasurer may be appointed by the treasurer, subject to the approval of the Executive Board. On a proposal from the Executive Board, the treasurer may put in place, with each territorial referent, the financial arrangements needed for the territorial organisation.

    X. Financial year

    The financial year begins on 1 January and ends on 31 December of each year.

    Y. Statutory auditors

    The Executive Board has authority to appoint, renew or replace the statutory auditors.

    IX. INTERNAL COHESION

    Z. Loss of membership

    Membership is lost through removal from the register and through exclusion, which may be definitive.

    Without prejudice to the provisions of these statutes, exclusion may be ordered in particular for the following reasons:

    • failure to comply with the statutes or the Charter of Values;
    • loss of eligibility or of civic rights;
    • breaches of honour, whether or not resulting from a criminal conviction;
    • public positions contrary to the principles and objectives of Génération Maastricht.

    AA. Disputes Committee

    1. Composition

    The Disputes Committee is a collegial body composed of six to twelve qualified persons who are members of Génération Maastricht. Its members are appointed by the Executive Board, on a proposal from the General Council, for a term of three years, renewable twice. They may not be members of the Executive Board.

    2. Responsibilities

    The Disputes Committee:

    • rules, where the person concerned contests it, on the refusal of a membership application;
    • rules, at the request of the Executive Board, on breaches of these statutes, of the rules of procedure, of the Charter of Values or of the decisions of the bodies and governing organs of Génération Maastricht, committed by a member or a local committee. It hears the persons concerned where appropriate. It may order exclusion and, in that context, may also issue a warning, a call to order, a reprimand or any measure proportionate to the facts in question.

    3. Functioning

    The Disputes Committee ensures respect for the rights of the defence in the exercise of its disciplinary power. Each year it submits an activity report to the General Council.

    X. AMENDMENTS TO THE STATUTES AND RULES OF PROCEDURE

    BB. Amendment of the statutes

    Revisions of these statutes are approved by the European Meeting by an absolute majority of the votes cast:

    • either on a proposal from the Executive Board;
    • or on a proposal from at least two thirds of the members of the General Council;
    • or on a proposal from at least two thirds of the members.

    By way of derogation from the first paragraph of this article, and for a period of one year from the adoption of these statutes, the Executive Board, on a proposal from the president or, where applicable, from a member of the said Board, has authority to amend these statutes. Amendments made on this basis may not concern the purposes of the association and may not have the effect of reducing the rights of members. They are ratified by the General Meeting at its next meeting.

    CC. The rules of procedure

    The General Council adopts, by an absolute majority of the votes cast and on a proposal from the Executive Board, rules of procedure to specify the conditions for applying these statutes. It alone has authority, under the same conditions, to revise them.

    Any provision of the statutes may be specified in the rules of procedure, whether or not this has been explicitly provided for in the provision concerned.

    The rules of procedure and any amendments made to them are brought to the attention of the members of Génération Maastricht.

    XI. FINAL PROVISIONS

    DD. Dissolution

    The dissolution of Génération Maastricht is decided, on a proposal from the Executive Board, by all the members constituted as a General Meeting, by an absolute majority of the votes cast. In the event of dissolution, the assets of Génération Maastricht are allocated to the body designated by the General Meeting.
